MET Medical Ltd – Standard Terms and Conditions

1. Definitions

  • Client: Any person, company, or organisation hiring services from MET Medical Ltd.

  • Services: Refers to all services provided by MET Medical Ltd, including but not limited to Event Medical Cover, Patient Transport, Private Transfers, Urgent Care at Your Door, and International Repatriation.

  • Agreement: The formal arrangement between MET Medical Ltd and the Client, incorporating these Terms and Conditions.

2. Contractual Agreement

  • These Terms and Conditions shall apply to all contracts for the provision of Services by MET Medical Ltd to the Client.

  • Any variations to these Terms and Conditions shall be in writing and signed by both parties.

3. Booking & Quotations

3.1 Booking Confirmation

  • A booking is considered confirmed only upon receipt of written confirmation from MET Medical Ltd.

  • It is the Client's responsibility to verify all details in the booking confirmation and promptly inform MET Medical Ltd of any discrepancies.

3.2 Amendments by the Client

  • Requests for changes to confirmed bookings must be made in writing.

  • Acceptance of such requests is at the discretion of MET Medical Ltd and may be subject to additional charges.

3.3 Amendments by MET Medical Ltd

  • While every effort is made to adhere to agreed schedules, MET Medical Ltd reserves the right to make necessary adjustments due to unforeseen circumstances.

  • Clients will be informed of significant changes as soon as practicable.

4. Service Delivery

4.1 Compliance and Standards

  • All services will be delivered in accordance with applicable UK laws and Care Quality Commission (CQC) regulations.

  • MET Medical Ltd ensures that all staff are appropriately trained, qualified, and registered with relevant professional bodies, where applicable.

4.2 Equipment and Vehicles

  • All equipment and vehicles used in service delivery will meet current UK standards and regulations, including compliance with the Road Traffic Act for ambulance operations.

5. Anti-Solicitation Clause

  • The Client agrees not to solicit, employ, or contract, either directly or indirectly, any employee, contractor, or associate of MET Medical Ltd within 12 months of the conclusion of the last service provided.

  • Breach of this clause will result in a fee equal to 12 months' gross earnings of the individual concerned.

6. Cancellations

6.1 Cancellation by the Client

  • Cancellations must be communicated in writing.

  • The following charges apply:

    • More than 7 days before the service: 25% of the total fee.

    • Between 3 and 7 days before the service: 50% of the total fee.

    • Less than 3 days before the service: 100% of the total fee.

6.2 Cancellation by MET Medical Ltd

  • In the unlikely event that MET Medical Ltd must cancel a service, a full refund will be provided, or an alternative arrangement will be offered.

  • MET Medical Ltd shall not be liable for any consequential losses arising from such cancellations.

7. Aborted or Amended Services

  • Services may be amended, delayed, or aborted if patient condition, risk, or safety dictates.

  • No refunds are issued for delays or amendments outside MET Medical Ltd's control.

8. Credit Terms

  • Payment is due within 30 days of the invoice date unless otherwise agreed in writing.

  • Late payments incur interest at 8% above the Bank of England base rate, plus recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.

9. Client Responsibilities

9.1 Risk Assessment

  • The Client is responsible for conducting comprehensive risk assessments for events.

  • MET Medical Ltd may conduct its own risk assessments for medical service provision.

9.2 Communication Systems

  • The Client must provide an effective communication system to facilitate coordination between MET Medical Ltd staff and event organisers.

  • All event staff and contractors should be informed of the location of medical facilities and the procedure for requesting medical assistance.

9.3 Facilities and Access

  • The Client must provide suitable facilities for medical services, including designated treatment areas that are easily accessible, covered, well-lit, and secure.

  • Clear access and egress routes for emergency vehicles must be maintained at all times.

10. Staff Substitution

  • MET Medical Ltd reserves the right to substitute staff with equally qualified personnel as necessary.

11. Legal Compliance & Reporting

11.1 Insurance

  • MET Medical Ltd holds public liability insurance with a minimum coverage of £10 million.

  • The Client is required to have appropriate insurance coverage, including public liability and event cancellation insurance.

11.2 Incident Reporting

  • MET Medical Ltd will report any incidents in line with RIDDOR requirements and cooperate with the Client to fulfil any additional reporting obligations.

12. Limitation of Liability

  • MET Medical Ltd shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the provision of its services.

13. Force Majeure

  • MET Medical Ltd shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, natural disasters, or industrial action.

14. Data Protection

  • All personal data is handled in accordance with UK GDPR and the Data Protection Act 2018.

  • MET Medical Ltd has appropriate technical and organisational measures to ensure data security.

15. Termination

  • Either party may terminate the Agreement with immediate effect in writing if the other party commits a material breach that is not remedied within 14 days.

16. Service-Specific Terms

16.1 Event Medical Cover

  • Clients must provide safe, secure treatment areas with lighting and power.

  • Accurate disclosure of the event risk profile is required.

  • MET Medical Ltd is not liable for incidents outside the medical scope or planning.

  • In circumstances where additional medical cover is required at short notice, provision will be subject to operational availability and, if provided, will be charged at 1.5 times the standard hourly rate.

  • Where an event continues beyond the scheduled finish time as confirmed in the booking, MET Medical Ltd will make reasonable efforts to continue medical cover where staff and resources are available. Any such overrun will be charged in 30-minute increments at 1.5 times the standard hourly rate, rounded up to the nearest half-hour. Continuation of cover beyond the agreed time is not guaranteed and remains at MET Medical Ltd’s discretion based on operational capacity.

16.2 Patient Transport & Private Transfers

  • Clients are responsible for accurate booking information.

  • Escorts must be arranged where required.

  • Waiting time outside of any agreed waiting will be charged in 30-minute increments at a rate of £50.

  • Access issues may result in additional charges or cancellations.

  • If a patient refuses to travel upon attendance, full charges remain payable.

  • The booking party must confirm they have the appropriate legal authority to consent to or act in the patient’s best interests under the Mental Capacity Act 2005, where applicable.

  • If the patient lacks capacity and no formal Power of Attorney exists, the decision to proceed with transport will be made based on clinical assessment in the patient’s best interests.

  • Patient transport inherently involves risk, including the possibility of being further from definitive care such as hospital facilities. While every effort is made to maintain safety, Clients acknowledge and accept these risks by proceeding with the booking.

  • By placing a booking on behalf of a patient, the Client confirms that they have obtained appropriate consent from the patient, or have the legal authority to consent on the patient’s behalf.

16.3 Urgent Care at Your Door

  • This is a private, non-999 urgent care service.

  • Treatment is limited to assessment, basic diagnostics, and minor interventions.

  • Consent is required for treatment; capacity will be assessed as per the Mental Capacity Act 2005.

16.4 International Repatriation

  • Clients must provide all travel documentation, including fit-to-fly certificates.

  • MET Medical Ltd reserves the right to cancel if the patient is medically unfit to travel.

  • Third-party provider delays are outside our liability.

  • Formal handover must be arranged at the destination.

  • Travel for repatriation may involve extended periods without immediate access to hospital care. Clients and/or the booking party accept these clinical limitations by confirming the booking.

  • Booking a repatriation journey implies that the patient has consented to travel, or that the booking party holds valid authority (such as Power of Attorney or appropriate legal representation) to act on the patient's behalf. MET Medical Ltd may request supporting documentation to confirm this authority.
